Terms of Service.

These terms are between you and Marzipan Labs LLC, a limited liability company registered in the State of Wyoming, United States (“Marzipan Labs”, “we”, “us”). They govern your use of our software and this website.

By installing or using our software, you accept these terms. If you do not accept them, do not use it.

Where our software is distributed through a marketplace, that operator’s own end-user licence applies alongside these terms — today that means Apple’s Licensed Application End User License Agreement. Where the two conflict on a matter the marketplace governs — payment, refunds, store policy — the marketplace’s terms prevail.

We grant you a personal, non-exclusive, non-transferable, revocable licence to use our software on devices you own or control, for your own purposes. The software is licensed, not sold.

The licence does not permit you to resell, rent or sublicense our software; to decompile, reverse engineer or attempt to derive its source code, except to the extent that applicable law expressly permits it; to remove or alter any notice of ownership; or to use it to build a competing product.

What you create in our software is yours. We claim no ownership of it and acquire no licence to it beyond what is technically necessary to run the feature you have asked for. Most of it never leaves your device at all. How the remainder is handled is set out in our Privacy Policy.

You agree not to use our software or infrastructure to:

• break the law, or help anyone else do so;
• produce or distribute material that harms or exploits another person;
• interfere with, overload, probe or circumvent our systems, our rate limits, or the mechanisms that authenticate a genuine copy of an application;
• access our gateway other than through an unmodified copy of our software;
• infringe someone else’s intellectual property or privacy, or misrepresent output as having come from someone it did not.

We may suspend access to our services where it is necessary to protect them, to protect other users, or to comply with the law.

Some features produce output using statistical models. Such output can be wrong, incomplete or misleading, and it is provided for your judgement rather than in place of it. It is not professional advice of any kind — medical, nutritional, legal, financial or otherwise — and must not be relied on as though it were. Where a product presents an estimate, treat it as an estimate. You remain responsible for decisions you take, and for checking anything that matters.

Payment is handled entirely by the marketplace you purchase through. We never see or store your payment details. Prices are shown before purchase and may vary by territory.

Subscriptions renew automatically for the stated period unless cancelled at least 24 hours before the end of the current period. You can view, change or cancel a subscription in your account settings with that marketplace; cancelling stops the next renewal and does not shorten the period you have paid for.

Refunds are issued by the marketplace, not by us, under its refund policy. If you believe something has gone wrong, write to us anyway — we can often help, and where the fault is ours we will say so on your behalf.

We improve our software continuously, which means features may change, be added, or be withdrawn. We may also discontinue a product. Where a discontinuation affects a paid subscription, we will give reasonable notice and will not charge for a period we do not intend to serve. Our services depend on third parties and are not guaranteed to be uninterrupted or error-free.

Our software, this website, and everything in them — code, text, design, and the Marzipan Labs name and marks — remain our property or that of our licensors. Nothing in these terms transfers any of it to you. Other product names mentioned anywhere on this site belong to their respective owners.

To the fullest extent permitted by law, our software and this website are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. Some jurisdictions do not allow the exclusion of certain warranties; in those places this section applies only so far as the law permits, and your statutory consumer rights are unaffected.

To the fullest extent permitted by law, Marzipan Labs will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising out of your use of our software. Our total liability for any claim relating to a product is limited to the greater of the amount you paid us for that product in the twelve months preceding the claim, or fifty United States dollars. Nothing here limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.

You may end this agreement at any time by removing the software. We may end it if you materially breach these terms. The sections that by their nature should survive — ownership, disclaimers, limitation of liability and governing law — survive termination.

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules. If you are a consumer resident in the European Economic Area or the United Kingdom, this does not deprive you of the protection of the mandatory consumer law of your country of residence, or of the right to bring proceedings there.
